I don't even think the courts will touch it, I think Tigger is right that this clause is illegal, as it attempts to circumvent the duties of the officers of an insolvent corporation. My guess is the whole clause gets ignored.
"If we go broke we agree to give you dibs on assets" just doesn't sound Kosher.
If our legal system is that screwed up I want to make a contract with you that if I become insolvent, you get all my stuff, then I can just pick it up in Sweden when I move. Much simpler than going bankrupt.
