I don't even think the courts will touch it, I think Tigger is right that this clause is illegal, as it attempts to circumvent the duties of the officers of an insolvent corporation. My guess is the whole clause gets ignored.
I think that they will. The Agreement is between 3 Parties and there are restrictions on the transfer of the rights to other parties. This is not an asset that can be sold to anyone who comes and bids. This is why we have the issue with the assignment to Itec and then Kmos.
